1. About these terms
These terms and conditions (“Terms”) govern your use of the WebAnts website at webants.io (“Site”) and the provision of web design and development services (“Services”) by WebAnts Ltd (“WebAnts”, “we”, “us”, or “our”), a company registered in England and Wales.
By using this Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site or engage our Services. These Terms should be read alongside our Privacy Policy.
2. Use of this website
You agree to use this Site only for lawful purposes and in a manner that does not:
- Violate any applicable law or regulation.
- Infringe the rights of any third party, including intellectual property rights.
- Transmit any unsolicited commercial communications (spam).
- Attempt to gain unauthorised access to any part of the Site or our systems.
- Introduce malware, viruses, or other harmful code.
We reserve the right to restrict or terminate access to the Site at any time without notice if we believe these Terms have been breached.
3. Services and project agreements
All web design and development services are governed by a separate written project agreement or statement of work (“Agreement”) agreed between WebAnts and the client prior to the commencement of any work. In the event of any conflict between these Terms and an Agreement, the terms of the Agreement shall prevail.
Key commercial principles that apply to all projects unless otherwise agreed in writing:
- No prepayment: WebAnts does not require a deposit to commence work. Payment is structured around agreed project milestones.
- Milestone payments: You pay upon delivery and acceptance of each agreed milestone. Ownership of each deliverable passes to you on receipt of the corresponding milestone payment.
- Flat quotes: We provide fixed-price written quotes. We will notify you in writing before undertaking any work that falls outside the agreed scope, and no additional charges will be incurred without your written approval.
- Client responsibilities: Timely provision of content, feedback, and approvals is required to maintain agreed timelines. Delays caused by the client may affect delivery dates.
4. Intellectual property
Unless otherwise agreed in writing, upon receipt of all milestone payments due, the client receives a full, perpetual, royalty-free licence to use all deliverables produced by WebAnts for that project, including source code, designs, and written content.
WebAnts retains the right to display completed work in its portfolio and on its website for promotional purposes, unless the client requests confidentiality in writing prior to project commencement.
Third-party assets (stock photography, fonts, plugins, themes, and frameworks) are subject to their respective licences. WebAnts will advise you of any third-party licence requirements that affect your use of the deliverables.
All content on this Site, including text, graphics, logos, and code, is the property of WebAnts and is protected by UK copyright law. You may not reproduce, distribute, or create derivative works without our express written permission.
5. Payment terms
Invoices are due within 14 days of the invoice date unless otherwise stated in the project Agreement. Late payments may accrue interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
WebAnts reserves the right to suspend work on active projects where a milestone invoice remains unpaid beyond 30 days of its due date.
6. Limitation of liability
To the fullest extent permitted by law:
- WebAnts shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site or our Services.
- Our total aggregate liability to you in connection with any project shall not exceed the total fees paid by you for that specific project.
- We do not guarantee specific business outcomes, including but not limited to search engine rankings, conversion rates, or revenue, as these are affected by factors outside our control.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other matter that cannot be excluded by law.
7. Warranties and disclaimers
The Site and its content are provided “as is” without warranties of any kind, express or implied. While we take reasonable care to ensure information on this Site is accurate and up to date, we make no warranty that the Site will be uninterrupted, error-free, or free of viruses.
WebAnts warrants that Services will be performed with reasonable skill and care in accordance with the project Agreement. Any defects in deliverables reported within 30 days of delivery will be remedied at no additional cost.
8. Third-party links
This Site may contain links to third-party websites. These links are provided for your convenience only. WebAnts has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.
9. Confidentiality
Both parties agree to keep confidential any information disclosed during the course of a project that is identified as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Termination
Either party may terminate a project Agreement with 14 days’ written notice. On termination, the client is liable for payment of all milestone work completed up to the date of termination. WebAnts will deliver all completed work upon receipt of outstanding payments.
11. Governing law
These Terms and any disputes arising from them are governed by the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to these terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent revision. Continued use of the Site following an update constitutes acceptance of the revised Terms.
